Policy On Licensing: Lentz Engineering Associates, Inc., will consider licensing to individual firms for specific state and geographic regions for periods of one year, with yearly extensions subject to compliance with all other provisions of the formal licensing agreement. Licenses shall be required for Engineering Consultants, Design/Build Contractors, Commissioning Agents, and Manufacturers of Packaged Regenerative Dual DuctTM/SM Systems.
Licensees must be able to demonstrate competency, or be willing to undergo training, in basic and advanced application of processes employed and supervision by Licensor until the necessary competence in the process is established to the satisfaction of the Licensor. The Licensor will provide System and Equipment Specifications in 3-part CSI format, system schematics, control schematics, and control sequences suitable for preparation of Plans and Specifications for public bidding processes. In return, the Licensee shall agree to register all projects with the Licensor, and arrange for Licensor to be paid a royalty at a normal and usual rate of 4.5% of total Project HVAC system construction cost within 30 days of acceptance of bids by the Owner. When special expertise is required by the Licensee, the Licensee shall arrange for that expertise to be provided by the Licensor. Such special expertise shall include super-consulting services, plan reviews, licensee training, expert troubleshooting, expert training, and Commissioning Services. Licensees shall agree to non-compete provisions with Licensor for individual projects and shall under no circumstances provide services to Prohibited Clients.
Licensees shall notify Licensor of any practitioners seeking to provide Regenerative Dual DuctTM/SM System design services without the required license, or any practitioners representing themselves or their design products as the same as, or similar to, the Regenerative Dual DuctTM/SM System. Licensees shall notify Licensor of any and all litigation brought against them by Clients and shall identify the representing law firm. Licensor shall not be responsible for and Licensee agrees to hold Licensor harmless for any errors and omissions associated with licensed projects.
